TERMS & CONDITIONS These terms are between the buyer and seller and no other third party. The Wagon Company terms are final and no other terms and conditions will be entered into. This contract shall be subject to English Law and the buyer agrees to the non-exclusive jurisdiction of the English Courts. NEW ACCOUNTS - The opening of new accounts will be at the discretion of The Wagon Company. The minimum initial order quantity is 6 items across our standard range, or a minimum order value of £200. We do not supply free samples. DROP-SHIPPING - Drop ship orders can be taken by existing accounts only once the initial order is delivered. Any orders delivered outside UK Mainland will incur additional carriage. PRICING - Our trade prices are exclusive of VAT unless expressly stated. Retail prices are suggested and used as a guide for trade accounts, as a wholesaler we will not give these out to customers. All prices are correct at the time of going to press and are subject to change without further notice. PAYMENT TERMS - New accounts are Proforma. Applications for terms are accepted once an account is ordering regularly. Goods are only released once payment has cleared. Terms can be applied for by completing an account form and once satisfactory trade references have been received terms are strictly 30 days. Overdue accounts will be placed on hold and will incur an admin fee. After 3 months consecutive late payments accounts risk being put back on Proforma or placed on Stop. DELIVERY & CARRIAGE - UK Mainland – Normal delivery is 1-3 days via courier. Non UK Mainland – Normal delivery is 2-4 days via courier, please enquire for a quote. Other Countries – Delivery times will vary depending on the size of your order and the delivery address, please enquire for a quote. A signature is required upon delivery and all our orders are tracked, please note weekend or bank holiday deliveries are not available. FAULTY GOODS & RETURNS - The Wagon Company will repair or replace faulty goods. Damages must be reported within 5 days giving full details with photos whereby a returns number will be issued. We will send replacement parts if available. Credits will only be given on faulty items once checked by The Wagon Company so long as the item is returned adequately packaged with original packaging and complete. Carriage charges are not credited if the item is deemed not to be faulty, extra charges may be incurred for collection, restocking or missing parts. The Wagon Company do not operate a ‘sale or ‘return’ policy, and are unable to accept delivery of third party returns. LOSS OR DAMAGE - The Wagon Company shall not be liable for any direct or indirect loss of damage to property or persons arising out of any cause related to the sale, use or installation of goods beyond The Wagon Company’s reasonable control otherwise than as provided by law. LIMITATION ON SALE OF GOODS - Online Selling - Prior written approval must be obtained before offering The Wagon Company products over the internet. It is prohibited to sell The Wagon Company products over internet auction sites or marketplaces without prior written permission which is separate to approval for selling over the internet as mentioned above. EN71 Products – The Wagon Company only import products which are safety tested to EN71 standards and therefore legal to sell in the EU, the sale of Non-EN71 products from any of our brands by a trade account will be investigated. TITLE CLAIM - Goods remain the property of The Wagon Company until all sums due by the buyer have been paid in full. The risk in the goods passes to the customer on delivery but the ownership remains with The Wagon Company until full payment has been received. In the event of non-payment The Wagon Company shall be entitled to repossess the goods unless they have been subject to prior re-sales. In this case The Wagon Company shall be entitled to the proceeds of re-sale in the hand of the buyer, or liquidator, receiver or trustee in the event of bankruptcy. COPYRIGHT - Any text, graphics, logos and images belong to The Wagon Company or the individual brands shown, they are all protected by UK and International Copyright Laws. Permission must be sought from The Wagon Company to copy, download, store, change or adapt any of these items. The logo’s and trade names used by The Wagon Company may not be used by any third party without our permission. In the event of any unauthorized copying, The Wagon Company is entitled to take legal proceedings against the infringer. Any illustration of a product or description of a size, dimension, style etc…is given in good faith. However it cannot be guaranteed as absolutely correct.
